These terms govern the use of our virtual tour and photography services. By engaging with our services, you agree to abide by these terms, as well as the Terms and Conditions of our sister company, Pxlbake Ltd., which are also applicable to all projects completed under the View 3sixty brand. Please read through these terms carefully, and feel free to contact us if you have any questions.
1. Introduction
1.1 These terms and conditions govern the use of services provided by View 3sixty Ltd (referred to as “we,” “us,” or “our”). By accessing or using our services, you agree to comply with these terms and conditions.
1.2 We provide virtual tours and photography services for various purposes, including but not limited to businesses, educational institutions, and individual clients.
2. Services Provided
2.1 Our services include the creation of virtual tours, professional photography, 360-degree imagery, and related services, as agreed upon in the service contract.
2.2 The specific details of the services, including pricing, number of scenes, features, and timelines, will be outlined in the individual service agreement or quote provided to the client.
3. Payment Terms
3.1 Payment for our services will be due as outlined in the service agreement or invoice. Unless otherwise stated, this is 30 days from date of invoice.
3.2 Payments can be made via bank transfer only.
3.3 Late payments may incur a 10% late fee for every 30 days the payment is overdue.
3.4 Any changes to the agreed services after a contract has been signed may result in additional charges.
4. Client Responsibilities
4.1 The client is responsible for ensuring that all necessary permissions, consents, and licenses are obtained for any property or subjects being photographed or included in the virtual tour. This excludes aerial imaging, whereby our team will obtain all necessary approvals prior to the drone flight.
4.2 The client is responsible for ensuring that the location is accessible and ready for the photography/filming sessions on the agreed dates.
4.3 Any changes to the project scope or schedule must be communicated to us in advance. We will make reasonable efforts to accommodate changes, but may charge additional fees for changes outside the original scope.
5. Copyright and Usage Rights
5.1 All photos, videos, and virtual tours produced by us remain our intellectual property unless otherwise agreed.
5.2 Upon full payment, the client is granted a non-exclusive, non-transferable license to use the virtual tours, photographs, and related content for the agreed purposes as outlined in the service agreement.
5.3 The client may not sell, license, or distribute the materials without prior written consent from us.
6. Delivery and Timelines
6.1 We will make reasonable efforts to complete and deliver the services within the timeline specified in the service agreement.
6.2 Delays may occur due to factors outside of our control, such as adverse weather conditions, technical issues, or client-related delays. We will notify the client as soon as possible if such delays occur.
7. Cancellation and Refunds
7.1 Cancellations must be made in writing at least 14 days before the scheduled service date.
7.2 Cancellations made after this time frame may be subject to a cancellation fee or partial refund, depending on the stage of the project.
8. Limitation of Liability
8.1 We will not be held liable for any indirect, incidental, or consequential damages arising from the use of our services.
8.2 Our liability for any claim arising from our services is limited to the amount paid by the client for the specific service in question.
9. Confidentiality
9.1 We agree to keep any confidential information shared by the client during the course of the project strictly confidential and will not disclose it to any third party without prior consent, unless required by law.
10. Force Majeure
10.1 We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of nature, government restrictions, or other events outside our control.
11. Governing Law
11.1 These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom.
11.2 Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of the United Kingdom.
12. Amendments
12.1 We reserve the right to amend these terms and conditions at any time. Any changes will be posted on our website, and the revised terms will apply to all future contracts unless otherwise agreed upon in writing.
13. 360 Studio Platform, Hosting and Service Availability
13.1 Platform Description
360 Studio is a proprietary content management and hosting platform operated by View 3Sixty Ltd, used to deliver and manage interactive virtual tours. Access to the 360 Studio platform allows clients to manage certain elements of their virtual tours, including scene naming, hotspot content, media uploads, links, text and other related information via the platform interface.
13.2 Service Availability
While every effort is made to ensure the reliability, security and availability of the 360 Studio platform, the service is provided on a best efforts basis. Continuous, uninterrupted or error free operation of the platform cannot be guaranteed.
13.3 Maintenance and Updates
The platform may occasionally experience downtime due to maintenance, updates, technical adjustments or security improvements. Such interruptions may occur without prior notice where necessary. Where reasonably possible, advance notice will be provided for scheduled maintenance.
13.4 Modification or Discontinuation of Service
View 3Sixty Ltd reserves the right to modify, update, suspend or discontinue the 360 Studio platform or any associated services where necessary for operational, technical or commercial reasons. Where reasonably possible, notice will be provided to clients in advance of any significant service changes.
13.5 Access to Source Imagery
In the event that the 360 Studio platform or associated hosting services are discontinued, clients will be provided with access to the original 360 degree images captured as part of their project. This enables clients to make alternative arrangements for hosting or rebuilding their virtual tours using other software platforms or service providers.
13.6 Core Deliverable of Services
The delivery of the original 360 imagery constitutes the core photographic component of the project. Ongoing hosting, platform access and software functionality are provided as an additional service and do not constitute a guaranteed lifetime hosting arrangement.
13.7 Limitation of Liability
To the fullest extent permitted by law, View 3Sixty Ltd shall not be liable for any indirect or consequential losses arising from the use of, or inability to access, the 360 Studio platform. This includes but is not limited to loss of business, revenue, opportunity, marketing disruption or loss of data.
13.8 Liability Cap
In all circumstances, the total liability of View 3Sixty Ltd relating to any project or service shall be limited to the total amount paid by the client for that specific project or service.
13.9 Service Interruptions Outside Control
View 3Sixty Ltd shall not be held responsible for service interruptions caused by factors outside reasonable control, including but not limited to failures of hosting providers, internet infrastructure, third party services or force majeure events.
13.10 Client Responsibility for Content Backup
Clients remain responsible for maintaining their own copies of any content uploaded to the platform where such content is important to their own records or operations. While reasonable measures are taken to maintain system integrity, the platform should not be relied upon as the sole storage location for critical assets.
